Welcome to Keel.
These Terms of Service (“Terms”) are a binding agreement between you and Keel Software, Inc., a Delaware corporation (“Keel,” “we,” “us,” or “our”). They govern your access to and use of usekeel.io, the Keel application, API, CLI, and any related software, tools, features, content, and services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind it, and “you” refers to that organization.
1. Eligibility
You may use the Service only if you:
- Are at least 18 years old
- Have the legal capacity to enter into binding agreements
- Comply with all applicable laws and regulations in your jurisdiction
- Are not located in, ordinarily resident in, or organized under the laws of a jurisdiction subject to comprehensive economic sanctions, and are not listed on any applicable sanctions or restricted-party list
You may not use the Service if doing so would violate any applicable law, rule, or regulation.
2. Nature of the Service
Keel is a software platform that provides tools for building, testing, analyzing, deploying, monitoring, and managing trading strategies, including strategies that may interact with Hyperliquid and other third-party services.
The Service may include AI-assisted features, including strategy generation, editing, explanation, and analysis.
Keel does not:
- Provide financial, investment, legal, or tax advice
- Manage funds
- Take custody of user assets
- Make discretionary trading decisions on a user's behalf
- Guarantee profitability, execution quality, or trading outcomes
All strategies, parameters, configurations, and deployment decisions are created, selected, approved, and controlled by the user.
3. No Financial Advice; No Recommendation
All information, outputs, backtests, analytics, reports, AI-generated content, and other materials available through the Service are provided for informational and educational purposes only.
Nothing in the Service constitutes:
- Financial advice
- Investment advice
- A recommendation or solicitation to buy, sell, or hold any asset
- Managed trading, brokerage, or portfolio management services
You are solely responsible for evaluating whether any strategy, output, or action is appropriate for your objectives, financial condition, and risk tolerance.
Trading involves substantial risk. You may lose part or all of your capital. Past performance, backtest results, simulated performance, hypothetical performance, and AI-generated outputs are not guarantees of future results.
4. User Responsibility
You are solely responsible for:
- All trading decisions and outcomes
- Building, selecting, reviewing, editing, approving, and deploying strategies
- Monitoring live strategies and positions
- Managing leverage, exposure, position sizing, and risk controls
- Pausing, stopping, or modifying strategies when appropriate
- Any orders, fills, executions, cancellations, liquidations, gains, or losses associated with your use of the Service
- Any accounts, wallets, delegated permissions, API keys, or other credentials you connect to the Service
You acknowledge and agree that:
- Strategies may behave unexpectedly or undesirably
- AI-generated outputs may be incorrect, incomplete, misleading, or unsuitable for trading
- Backtests and simulations are limited and may not reflect real-world conditions
- Real-world execution may differ materially from backtests, simulations, or expected outcomes
- Trading losses can occur rapidly, including from volatility, slippage, funding, latency, outages, liquidations, market structure, or user error
5. Accounts, Credentials, and Security
You are responsible for maintaining the confidentiality and security of your account credentials and any wallets, exchange accounts, delegated permissions, API keys, signing permissions, or similar credentials used with the Service.
You are responsible for all activity that occurs under your account or through your connected accounts, wallets, or credentials.
You must promptly notify us at support@usekeel.io if you believe your account or credentials have been compromised.
6. Execution Timing, Price, and Market Risk
Execution of trades may be delayed, fail, or be impacted by market conditions, exchange behavior, order book conditions, network congestion, chain issues, delegated permission issues, system performance, connectivity issues, or failures of third-party infrastructure.
Prices at execution may differ from expected, quoted, displayed, simulated, or backtested prices. Orders may fill partially, fully, at a worse or better price than expected, or not at all.
We do not guarantee:
- Order placement timing
- Order transmission
- Order acceptance
- Order fulfillment
- Price accuracy
- Slippage limits
- Availability of any venue, market, or feature
- That live results will match backtests or simulations
7. Third-Party Services
The Service depends on third-party services, which may include exchanges, wallets, market data providers, cloud infrastructure providers, analytics providers, payment processors, and communication tools.
Your use of third-party services is at your own risk and subject to those third parties' terms, policies, and technical limitations.
We are not responsible for any act, omission, outage, error, breach, delay, policy change, insolvency, failure, or unavailability of any third-party service.
8. Non-Custodial Service
Keel is non-custodial.
We do not:
- Hold or custody your funds
- Hold or custody your private keys
- Control your wallet
- Take possession of your assets
You remain responsible for your wallets, exchange accounts, delegated permissions, and assets at all times.
9. Experimental and Beta Features
Some features of the Service may be new, experimental, beta, or otherwise subject to change. The Service may contain bugs, errors, security vulnerabilities, performance issues, or unexpected behavior.
By using the Service, you acknowledge that some features may not function as intended and that you use the Service at your own risk.
We may add, remove, modify, suspend, or discontinue any feature at any time, with or without notice.
10. Fees and Payments
Some features of the Service may require payment, including subscriptions or usage-based charges.
By purchasing a paid plan, you agree to pay all applicable fees, taxes, and charges. Payments may be processed by third-party payment processors.
Unless otherwise stated, fees are non-refundable except as required by law.
We may change pricing, plans, features, or billing terms at any time. Changes will apply prospectively.
You are also responsible for any exchange fees, gas fees, funding payments, builder fees, trading fees, slippage costs, or other market-related costs associated with your trading activity.
11. Acceptable Use
You agree not to:
- Use the Service in violation of any law or regulation
- Attempt to gain unauthorized access to any system or account
- Interfere with or disrupt the Service or its infrastructure
- Probe, scan, or test vulnerabilities without authorization
- Reverse engineer, copy, scrape, or misuse the Service except as permitted by law
- Use the Service to harm others, commit fraud, manipulate markets, or evade compliance requirements
- Misrepresent your identity, affiliation, or authority
We may investigate suspected misuse and may suspend or terminate access at any time.
12. Intellectual Property
The Service, including its software, design, branding, text, graphics, interfaces, and related materials, is owned by Keel Software, Inc. or its licensors and is protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose.
You retain ownership of content you submit to the Service, such as strategy descriptions, prompts, configurations, and related materials. You grant us a limited license to host, process, transmit, and use that content as necessary to operate, maintain, improve, and secure the Service.
13. Service Availability; No Warranty
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or that the Service will be uninterrupted, secure, or error-free.
We do not warrant that:
- The Service will meet your requirements
- The Service will be uninterrupted, timely, secure, or error-free
- Any defect will be corrected
- Any output, report, metric, or strategy is accurate or suitable for your use
- Any execution or market interaction will occur as intended
14. Limitation of Liability
To the maximum extent permitted by law, Keel shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, or trading losses, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Keel shall not be liable for any loss arising out of or related to:
- Trading decisions or trading outcomes
- Strategy errors or user configuration errors
- Exchange failures or market events
- Latency, slippage, liquidation, price movement, or missed orders
- Third-party services
- Bugs, outages, or security incidents
- Unauthorized access to your account, wallet, or credentials
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of:
- The amount you paid to us for the Service in the three (3) months before the event giving rise to the claim, or
- One hundred U.S. dollars (US $100)
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Keel from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Service
- Your strategies, trading activity, or market activity
- Your violation of these Terms
- Your violation of any law, regulation, or third-party right
- Any dispute between you and any third party, including an exchange, wallet provider, or payment processor
16. Suspension and Termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe:
- You violated these Terms
- Your use creates risk for us, other users, or third parties
- A third-party provider requires us to do so
- We are required to do so by law
- We choose to discontinue the Service
You may stop using the Service at any time.
Sections that by their nature should survive termination will survive, including sections relating to liability, disclaimers, indemnification, intellectual property, payments owed, and interpretation of these Terms.
17. Changes to These Terms
We may update these Terms from time to time. The updated version will become effective when posted, unless otherwise stated, and we will update the “Last Updated” date above.
Your continued use of the Service after updated Terms are posted constitutes acceptance of the updated Terms.
18. Governing Law and Venue
These Terms, and any dispute or claim arising out of or relating to these Terms or the Service, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and Keel agree that the state and federal courts located in the State of Delaware have exclusive jurisdiction and venue over any dispute or claim arising out of or relating to these Terms or the Service. You consent to personal jurisdiction in those courts and waive any objection that they are an inconvenient forum.
To the maximum extent permitted by law, you and Keel each waive any right to a trial by jury in any action arising out of or relating to these Terms or the Service.
Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arose, or it is permanently barred, except where applicable law requires a longer period.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
19. Notices and Electronic Communications
We may provide notices to you by email to the address associated with your account, by posting within the Service, or by posting on usekeel.io. Notices are effective when sent or posted.
You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
Legal notices to Keel must be sent to support@usekeel.io with “Legal Notice” in the subject line, and are effective when received.
20. General Provisions
Entire agreement. These Terms, together with our Privacy Policy and any plan, billing, or feature terms presented to you at purchase, are the entire agreement between you and Keel regarding the Service, and supersede any prior agreements or understandings on that subject.
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our prior written consent, and any attempted assignment is void. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
Force majeure. We are not liable for any delay or failure to perform caused by conditions beyond our reasonable control, including exchange, venue, or blockchain outages, network or cloud provider failures, cyberattacks, acts of God, war, civil unrest, labor conditions, or government action.
Relationship of the parties. These Terms do not create any partnership, joint venture, agency, employment, or fiduciary relationship between you and Keel. We owe you no fiduciary duty in connection with the Service.
No third-party beneficiaries. These Terms do not create rights for anyone other than you and Keel.
Headings. Section headings are for convenience only and do not affect interpretation.
